Why Organizations Need to be POSH Compliant

Penalties for Non-Compliance with the POSH Act 2013:

An employer found in violation of the Act during an inspection may be liable for a monetary penalty of up to INR 50,000 and repeated offenses could result in the fine being doubled, de-registration or revocation of business licenses.

The violations which may trigger an offence by an employer include :

  • Failing to create an IC under Section 4;
  • Failure to take action as required by the ICC under Sections 13 (proven allegations), Section 14 (malicious allegations) and 22 (annual reporting);
  • Contravention or attempted contravention of any provision of the Act.

Thus, an employer may suffer financial consequences if he or she does not comply with the requirements outlined above.

Mandatory Disclosure under Companies Act 2013

The Ministry of Corporate Affairs vide its notification dated 31.07.2018, has amended the Companies (Accounts) Rules, 2014, issued under Section-134 of the Companies Act,

As part of the changes, the Corporate Affairs Ministry had amended the Companies (Accounts) Rules, 2014, issued under Section 134 of the Companies Act, by inserting a new clause under sub-rule (5) of rule (8), which reads:

“A statement that the Company has complied with provisions relating to the constitution of Internal Complaints Committee under the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013”.

The Rules now require companies to include the above statement in the directors’ responsibility statement, which forms a part of the company’s Annual Report.

Penalties for Non-Compliance under Companies Act 2013:

The penalty for violation of this responsibility is INR 50,000 to INR 25,00,000/- (Twenty Five lakhs).

Every officer in default will be punishable with imprisonment up to 3 years.
